Welcome to CoralLedger Comply. These Terms of Service ("Terms") govern your access to and use of our VAT compliance management platform. By accessing or using CoralLedger Comply, you agree to be bound by these Terms.

Important: Please read these Terms carefully before using our service. If you do not agree to these Terms, you may not access or use CoralLedger Comply.
1. Acceptance of Terms

By creating an account, accessing, or using CoralLedger Comply ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Service Description

CoralLedger Comply is a cloud-based VAT compliance management platform designed specifically for businesses operating under The Bahamas VAT Act, 2014. Our Service provides:

Transaction import and categorization

VAT calculation and validation

VAT return preparation and filing

Compliance monitoring and reporting

Data quality analysis and improvement

Disclaimer: CoralLedger Comply is a compliance management tool and does not constitute legal, tax, or accounting advice. You are responsible for ensuring the accuracy and completeness of all data submitted through the Service and for complying with all applicable laws and regulations.

3. User Accounts and Responsibilities
3.1 Account Registration

To use CoralLedger Comply, you must create an account by providing accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Notifying us immediately of any unauthorized access or security breaches

Providing accurate business information, including TIN and VAT registration numbers

3.2 Account Types

CoralLedger Comply offers three account types:

Business Account: For individual businesses managing their own VAT compliance

Accounting Firm Account: For accounting firms managing multiple client businesses

Team Member Account: For employees or accountants invited to access a business account

3.3 Data Accuracy

You represent and warrant that all data you submit to the Service is accurate, complete, and compliant with applicable laws. CoralLedger is not responsible for errors or omissions in data you provide, or for any penalties or damages resulting from inaccurate data.

4. Acceptable Use Policy

You agree to use CoralLedger Comply only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service in any way that violates any applicable law or regulation

Submit false, misleading, or fraudulent information

Attempt to gain unauthorized access to any portion of the Service

Interfere with or disrupt the Service or servers or networks connected to the Service

Use the Service to transmit viruses, malware, or any other malicious code

Reverse engineer, decompile, or disassemble any portion of the Service

Use the Service to compete with CoralLedger or to build a similar product

Share your account credentials with unauthorized third parties

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

5. Intellectual Property Rights
5.1 CoralLedger's Intellectual Property

The Service, including its software, algorithms, user interface, design, content, and documentation, is owned by CoralLedger and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

5.2 Your Content

You retain all ownership rights to the data you submit to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to:

Store, process, and display Your Content to provide the Service

Create backups and archives for data protection purposes

Use anonymized, aggregated data for analytics and service improvement

We will never sell Your Content or share it with third parties except as required by law or with your explicit consent.

6. Data Processing and Privacy

Your use of CoralLedger Comply is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information and business data.

Data Security: We implement industry-standard security measures to protect your data, including:

256-bit AES encryption for data at rest

TLS 1.3 encryption for data in transit

Multi-tenant data isolation

Regular security audits and penetration testing

Access controls and audit logging

Data Retention: We retain your data for as long as your account is active or as needed to provide you services. You may request deletion of your data at any time, subject to legal and regulatory retention requirements (7 years under Bahamas VAT Act).

7. Payment Terms

CoralLedger Comply is currently in development and may be offered as a free service during the beta period. Once commercially launched, subscription fees will apply.

Future Pricing: We will provide at least 30 days' notice before implementing any subscription fees. If you do not wish to pay subscription fees, you may terminate your account before the fees take effect.

Refund Policy: Once established, our refund policy will be clearly communicated. Generally, subscription fees are non-refundable except as required by law.

8. Limitation of Liability
Important Legal Notice: Please read this section carefully as it limits our liability to you.
8.1 Service Provided "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Tax or Legal Advice

CoralLedger Comply is a compliance management tool and does NOT provide tax, legal, or accounting advice. You should consult with qualified professionals for advice specific to your situation.

8.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORALLEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities

Loss of data or inability to access data

VAT penalties, interest, or fines imposed by government authorities

Damages resulting from errors or omissions in your submitted data

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD if no fees were paid.

9. Indemnification

You agree to indemnify, defend, and hold harmless CoralLedger, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the Service

Your violation of these Terms

Your violation of any law or regulation

Your violation of any third-party rights

Any inaccurate or incomplete data you submit to the Service

10. Termination
10.1 Termination by You

You may terminate your account at any time by contacting us at support@coralledger.com. Upon termination, you will lose access to the Service and your data will be deleted according to our data retention policy.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

You violate these Terms or our Acceptable Use Policy

Your account has been inactive for more than 120 days

We suspect fraudulent, abusive, or illegal activity

Payment for subscription fees is past due (once applicable)

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will provide you with a 30-day grace period to export your data before permanent deletion, except in cases of termination for cause (fraud, abuse, or illegal activity).

11. Governing Law and Dispute Resolution
11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of The Commonwealth of The Bahamas, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

Informal Negotiation: Contact us at support@coralledger.com to resolve disputes informally

Mediation: If informal negotiation fails, disputes may be submitted to mediation in Nassau, Bahamas

Arbitration: If mediation fails, disputes shall be resolved by binding arbitration in Nassau, Bahamas

11.3 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in Nassau, Bahamas to resolve any dispute or claim arising from these Terms.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

Update the "Last Updated" date at the top of this page

Notify you via email if the changes are material

Provide at least 30 days' notice for material changes that affect your rights

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

13. General Provisions
13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoralLedger regarding your use of the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
